General Terms and Conditions 
 
1. Provider
hrstack.io is operated by:

These General Terms and Conditions (GTC) apply to all contracts and services between Sandra Feldmann, operator of hrstack.io, and her clients.
 
2. Scope
- 
These GTC apply to all paid and unpaid services of hrstack.io for companies, agencies, freelancers, and organizations within the meaning of § 14 BGB.
- 
The services are intended exclusively for commercial users.
- 
Use by consumers within the meaning of § 13 BGB is excluded.
 
3. Services
hrstack.io provides visibility and communication services for HR tech providers. These include, among others:
 
- 
Entry into the tool database
- 
Contributions on social media (e.g. LinkedIn, Instagram, TikTok, YouTube)
- 
Placements in newsletters and WhatsApp channel
- 
Creation and publication of use cases, interviews, blog posts, whitepapers, videos
- 
Access to free tools such as ROI calculators, glossary, checklists
- 
Optional add-ons such as webinars or video tutorials
 
The exact scope results from the individually booked package or offer.
 
4. Conclusion of Contract
A contract is concluded through:
 
- 
Written or electronic acceptance of an offer (e.g. by e-mail)
- 
Payment
- 
Implied use of the agreed services after booking
 
All offers are subject to confirmation until acceptance.
 
5. Duties to Cooperate
- 
Clients undertake to provide all necessary content (e.g. texts, images, logos, approvals) in good time.
- 
If this results in delays, the service date will be postponed accordingly.
- 
A claim to publication on a specific date only exists with express written agreement.
- 
hrstack.io is not responsible for:
  ○ Social media comments or community management
  ○ Editorial support after publication
  ○ Technical implementation on third-party platforms
 
Subcontractors & Freelancers
- 
hrstack.io is entitled to use subcontractors or freelancers to provide the agreed services.
- 
Responsibility for proper performance remains with hrstack.io.
- 
No direct contractual relationship arises between clients and subcontractors used.
 
6. Publication & Revision Rounds
- 
Clients receive a draft for approval.
- 
Two related revision rounds are included.
- 
A revision round is considered the bundled feedback of the client on one draft. Several staggered individual changes to the same draft do not count as one round.
- 
Additional changes are subject to a fee.
- 
If no feedback is received within 5 working days, the draft is deemed approved.
- 
Content published under the name hrstack.io or Sandra Feldmann may not be substantially modified or reused outside the agreed context without prior consent.
 
7. Prices & Payment Terms
- 
All prices are net, plus applicable VAT.
- 
Invoicing takes place directly after booking.
- 
Payment term: 14 days from invoice date
- 
For payment within 7 days, a 2% discount is granted.
- 
Payment is made by bank transfer to the account specified in the invoice.
- 
In the event of default, statutory default interest applies. hrstack.io may withhold further services until full payment. Reminder fees and collection/legal costs may also be charged.
 
8. Cancellation & Rebooking
- 
Cancellation is possible free of charge until the start of production.
- 
In the event of cancellation after the start of service provision (e.g. text or video production), a flat fee of 50% of the package price is due.
- 
Already published services are non-refundable.
- 
A one-time postponement of planned publications is possible by arrangement but not guaranteed.
 
Contract Term & Termination
1. The term of the contract results from the booked package or offer.
2. Unless otherwise agreed, fixed-term packages are automatically renewed for the original term unless terminated in text form with 4 weeks' notice before the end of the term.
3. The right to extraordinary termination for good cause remains unaffected.
4. Termination must be in text form (e.g. e-mail).
 
9. Use of Free Tools
- 
Content such as ROI calculators, glossaries, or checklists is available to HR professionals free of charge.
- 
Use is at the user's own risk.
- 
Entered data will not be stored, analyzed, or reused for advertising purposes.
- 
No profiling or automated evaluation takes place.
 
10. Advertising Labeling
hrstack.io undertakes to clearly label commercial content. This applies in particular to:
 
- 
Paid contributions or mentions
- 
Product recommendations within cooperations
- 
Affiliate links
- 
Sponsored content in newsletters
- 
Paid visibility (e.g. tool listings)
 
Permissible labeling includes:
- 
"Advertisement"
- 
"Paid cooperation with ..."
- 
"Advertising due to brand mention"
 
11. Usage Rights & Intellectual Property
- 
hrstack.io ensures compliance with copyright law for all published content, both own and client-provided.
- 
hrstack.io holds the necessary rights to self-created content (texts, images, videos, graphics).
- 
Third-party content (brands, logos, texts, screenshots, photos) may only be used with permission/license.
- 
Unauthorized use of third-party content (e.g. from Google, Wikipedia, other creators) is not permitted.
 
Clients undertake to:
- 
Only provide content they hold rights to
- 
Indemnify hrstack.io from third-party claims
 
Reuse of hrstack.io content requires express consent.
 
12. Platform Responsibility & Liability
- 
Publications may occur on third-party platforms (LinkedIn, Instagram, TikTok, YouTube).
- 
hrstack.io is not liable for:
  ○ Algorithm changes
  ○ Limited visibility
  ○ Account suspensions
  ○ Technical failures/downtime
  ○ Geo-blocking restrictions
 
No claims exist for replacement or refund in such cases.
 
13. External Links & Third-Party Content
- 
hrstack.io may link to third-party content/offers.
- 
No responsibility/liability is assumed for such content.
 
14. Ethics & Code of Conduct
- 
hrstack.io will not publish content that is:
  ○ Discriminatory, racist, sexist, homophobic, or derogatory
  ○ Illegal or contrary to social values
  ○ Misleading (e.g. bought reviews)
 
- 
hrstack.io reserves the right to reject content violating these principles even after commissioning.
 
15. Confidentiality
- 
Both parties undertake to keep all cooperation-related information confidential.
- 
Obligation continues beyond the end of the contract.
 
16. Email Marketing & Newsletter
- 
Newsletter subscription uses GDPR-compliant double opt-in.
- 
Content is clearly described upon registration.
- 
Each email contains a clear unsubscribe link.
- 
Data is used only for newsletter delivery, not shared with third parties.
 
17. Platform Behavior
- 
hrstack.io will comply with platform rules (LinkedIn, Instagram, TikTok). No:
  ○ Violations of platform policies
  ○ Automated follower/like boosting
  ○ Fake cooperations or unlabeled advertising
  ○ Clickbait or manipulative content
 
No liability for third-party actions (see section 12).
 
18. Limitation of Liability
- 
Liability exists only in cases of intent or gross negligence.
- 
For simple negligence, only in essential contractual obligations.
- 
No liability for:
  ○ Cyberattacks, data loss, force majeure
  ○ Technical failures, server problems
  ○ Third-party suspensions
  ○ Consequences of external links
 
Force Majeure
1. hrstack.io is released from obligations in cases of force majeure (natural disasters, war, terror, unrest, pandemics, strikes, etc.).
2. If lasting more than 3 months, both parties may terminate; unused payments refunded.
 
19. Withdrawal
- 
No statutory withdrawal right as services are exclusively for businesses (§14 BGB).
 
20. Governing Law & Jurisdiction
- 
German law applies exclusively.
- 
Jurisdiction: Munich, where legally permissible.
 
21. Final Provisions
- 
Side agreements/changes require text form.
- 
Invalid clauses do not affect the validity of others.
